KBRA Affirms Ratings for Petershill Partners Inc.
25 Sep 2026 | New York
KBRA affirms the issuer and senior unsecured debt ratings of A for Petershill Partners Inc. ("Petershill Delaware"), a wholly owned issuing entity of G-Petershill Partners LP (“PHP” or "the firm”), formerly Petershill Partners Ltd. The rating Outlook is Stable.
Key Credit Considerations
PHP’s credit profile benefits from an experienced management team, its long-standing relationship with Goldman Sachs Asset Management, and broad access to the Goldman Sachs platform. Since 2007, management has constructed a sizeable and diversified portfolio of high-performing alternative asset managers (“Partner-firms”), primarily across private equity, real assets, and private credit. The portfolio benefits from durable fund structures and relatively predictable management fee-related earnings, supplemented by performance-related revenues and investment gains. Diversification across Partner-firms, funds, vintages, strategies, and investment lifecycles supports the stability and visibility of cash flows.
Partner-firm operating performance remained strong through 1H26. While the take-private resulted in an increase in financial leverage, PHP continues to benefit from substantial shareholders’ equity and a sizeable portfolio of Partner-firm investments. The $500 million bridge facility was repaid in July 2026 as anticipated, supported by proceeds from Partner-firm realizations, and leverage remains comfortably within applicable covenant limits. PHP has demonstrated a meaningful ability to generate liquidity through Partner-firm realizations, providing additional financial flexibility. Selective new investments remain part of PHP’s broader strategy, balanced against maintaining a prudent financial profile.
PHP maintains adequate liquidity supported by recurring operating cash flow, available financing capacity, demonstrated access to long-term institutional debt markets, and the ability to monetize Partner-firm interests. Following repayment of the bridge facility, outstanding debt primarily consists of long-term senior unsecured USPP notes with staggered maturities, which are expected to be repaid in accordance with their scheduled maturity dates. The firm’s established access to the U.S. private placement market provides additional funding flexibility, while the absence of significant near-term refinancing requirements supports the overall liquidity profile.
Rating Sensitivities
Given the Stable Outlook, a rating upgrade is not expected over the next one to two years. Over the medium term, continued growth and diversification of Partner-firm AUM, sustained cash flow generation, and maintenance of a conservative leverage profile could support positive rating momentum. Rating pressure could arise from an unforeseen decline in Partner-firm AUM or performance that materially reduces fee generation and cash flow, or from a sustained increase in leverage beyond levels consistent with the current rating. A material deterioration in liquidity or a more aggressive financial policy could also negatively affect the ratings.
